4. Client responsibilities

Clients must provide accurate requirements, timely feedback, required access, content, data, approvals and cooperation necessary for successful project delivery. Delays in providing information may affect timelines and delivery dates.

5. Quotations, payments and taxes

Fees, payment milestones and taxes will be stated in the relevant proposal or invoice. Unless otherwise agreed in writing, work may begin only after acceptance of the proposal and receipt of any agreed advance payment. Late payments may result in suspension of work or delivery.

6. Intellectual property

Unless otherwise agreed in writing, the client will own the final custom deliverables created specifically for the client after full payment is received. Softpacks Private Limited retains ownership of its pre-existing tools, frameworks, know-how, reusable code, templates, libraries, processes and general technical knowledge.

7. Third-party services

Projects may use third-party services such as hosting providers, payment gateways, analytics tools, AI platforms, APIs, libraries or open-source components. Such services are subject to their own terms, pricing, availability and data policies. Softpacks Private Limited is not responsible for failures, changes or interruptions caused by third-party providers.

8. AI-specific terms

AI systems may produce inaccurate, incomplete or unexpected outputs. Clients are responsible for reviewing AI-generated results before relying on them for business, financial, legal, medical or operational decisions. We recommend human review for sensitive or high-impact use cases.

9. Confidentiality

Both parties should treat non-public business, technical, financial, customer and project information as confidential. Confidential information must not be disclosed to unauthorised third parties unless required by law or agreed in writing.

10. Data protection and security

We take reasonable steps to protect client data and project information. However, no website, network or software system can be guaranteed to be completely secure. Clients must ensure they have appropriate internal controls, backups and access management practices.

11. Limitation of liability

To the maximum extent permitted by applicable law, Softpacks Private Limited shall not be liable for indirect, incidental, consequential, punitive or special damages, including loss of profits, business interruption, loss of data or loss of opportunity. Our total liability for a paid project shall not exceed the amount paid by the client for the specific service giving rise to the claim, unless otherwise required by law.

12. Warranties and support

Any warranty, maintenance or support period will be stated in the applicable proposal or agreement. Issues caused by third-party changes, unauthorised modifications, incorrect usage, hosting failure, client-side changes or external attacks may fall outside free support.

13. Termination

Either party may terminate a project according to the terms of the relevant agreement. The client remains responsible for payment for work completed, committed costs and approved milestones up to the termination date.
